Our client is a well-established public-listed company in Malaysia. The company comprises multi-business verticals namely Property, Construction, Manufacturing & Trading of Industrial Products. You will take the lead in the company secretarial function for the group of companies
Responsibilities:
- Advice and update board of directors on various statutory and regulatory requirements pertaining to their respective responsibilities to a group of companies
- Attend Board, Board Committees and shareholders’ meetings of the group of companies and record minutes of the meeting thereof
- Ensure that directives of the respective Board of Directors of the Group are carried out by maintaining effective communication between the Directors and Management
- Ensure timely filing of statutory documents with the Companies Commission of Malaysia, determine and ensure timely announcements and submit reports to the Bursa Malaysia, the Securities Commission
- Liaise with the group of companies’ Share Registrar to ensure share registration processes are in compliance with the Companies Act 1965 and the Securities Industry (Central Depositories) Act 1991 and its regulations
- Organize and attend Shareholders’ Meetings of the group of companies and assist in responding to questions raised by Shareholders and Investors
- Organize training and seminars for the group of companies, and monitor mandatory training as stipulated by Bursa Malaysia, ie. Mandatory Accreditation Programme (MAP) and the Continuing Education Programme (CEP)
- To guide and advice the Board of Directors and senior management on corporate governance, statutory, regulatory and governmental requirements as well as best practice requirements and standards.
- Undertaking ad hoc projects as and when required.
Requirements:
- Candidates must possess at least a Professional Certificate (ICSA or equivalent)
- At least 5-6 years of relevant secretarial experience in a public listed company
- Good knowledge of the Listing Requirements of Bursa Malaysia and requirements of the Securities Commission
- Sound knowledge of the Companies Act 1965 and other relevant government regulations
- Good communication and presentation skills (both verbal and written)
- Able to plan, organize and meet deadlines
- Possess a high level of commitment, integrity, initiative and independence
